Terms of Service

These Terms of Service ("Terms") govern your use of the Wasatch Vector website at wasatchvector.com and the CRE Maps application at cremaps.wasatchvector.com (together, the "Services"), provided by Wasatch Vector [LEGAL ENTITY NAME, e.g. Wasatch Vector LLC], a Utah [entity type] ("Wasatch Vector," "we," "us"). By using the Services, you agree to these Terms. If you use the Services for a company, you confirm you can bind that company to these Terms.

1. The Services

CRE Maps lets you create maps of real estate for marketing purposes using parcel, imagery, traffic and business location information. We may change, add or remove features. Features described as planned or coming soon are not part of your subscription until released.

2. Accounts

You must give accurate account information and keep your login credentials secure. You are responsible for activity under your account. Tell us promptly at hello@wasatchvector.com if you believe your account has been compromised.

3. Subscriptions, billing and cancellation

  • Paid plans are billed in advance on a recurring basis at the price shown when you subscribe. Payments are handled by our payment processor.
  • Founding member pricing applies [for as long as your subscription stays active / for the period stated at signup].
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period. [We do not provide refunds for partial periods, except where required by law.]
  • We may change prices with at least [30] days' notice. Changes apply at your next renewal.
  • Early access and any free trial are provided as-is and may be limited, watermarked or withdrawn at any time.

4. Maps are marketing aids

Maps created with the Services are for marketing and general informational purposes only. They are not surveys, legal descriptions, title documents, or zoning or land-use determinations. Parcel boundaries are approximate. Acreage, traffic counts, imagery and business locations come from third-party and public sources, may be incomplete or out of date, and vary by county. You are responsible for verifying any information before relying on it and for the accuracy of marketing materials you publish.

5. Third-party names and logos

Maps may show the names and logos of nearby businesses to indicate their location. Those names and logos belong to their owners. Their appearance does not mean those businesses endorse you, your listing or Wasatch Vector. You agree to use them only to identify nearby businesses truthfully and to remove any logo if its owner objects or if we ask you to.

6. Your content and our license to it

You keep ownership of logos, contact details and other content you upload ("Your Content"). You give us a limited license to host and use Your Content only to provide the Services to you. You confirm you have the right to use Your Content.

7. Your exports

Subject to these Terms and to the attribution and source notices that appear on each map, you may use maps you export to market your properties and services, in print and online, during and after your subscription. You may not resell maps as a standalone product, remove source attributions, or use the Services to build a competing product.

8. Acceptable use

You agree not to: share your login outside your licensed users; scrape, copy or bulk-download data from the Services; reverse engineer the Services; interfere with their operation or security; or use them for anything unlawful, deceptive or infringing.

9. Our property

The Services, including the software, design, map styles and the Wasatch Vector and CRE Maps names and marks, belong to Wasatch Vector and its licensors. These Terms don't give you any rights to them beyond using the Services as described here.

10. Disclaimers

THE SERVICES AND ALL MAPS AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WASATCH VECTOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST DEALS OR LOST DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE [12] MONTHS BEFORE THE CLAIM.

12. Indemnity

You agree to defend and indemnify Wasatch Vector against claims arising from Your Content, your marketing materials, or your breach of these Terms.

13. Suspension and termination

We may suspend or end your access if you breach these Terms or fail to pay. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

14. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in [Utah County / Salt Lake County], Utah, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the Services after the effective date means you accept the updated Terms.
